Participation Terms and Conditions

The Global Cooling Prize (“Prize”) and the Global Cooling Prize coalition, which includes without limitation the Operating Council members, the Supervisory Board members, Prize sponsors, Technical Review Committee members, experts, and other individuals connected with the Global Cooling Prize (“Organizers”), request the team registering for the Prize—with a team referring to a single individual, a legal entity (corporation, LLC, sole proprietorship, nonprofit, university, etc.), a group of individuals, or a group of legal entities forming a team (“Team”)— to carefully read the below Terms and Conditions for participating in the Prize. The individual registering for the Prize on behalf of the Team is hereafter referred to as the “Team Leader.”

The Team and/or Team Leader accepting these Terms and Conditions and making the representations and warranties described below do so on behalf of all the Team members; and each Team member is deemed to be jointly and severally bound by and liable for such representations and warranties.

1. Eligibility

The Prize encourages participation by any Team from around the world without regard to race, religion, belief, caste, sex, sexual orientation, age, disability, nationality, politics or ideology. However, under certain circumstances or according to United States, Republic of India, or other applicable laws, the Team may not be eligible to compete in the Prize. To be eligible, a Team:

  • must not be linked, directly or indirectly, to organizations or individuals associated with terrorism;
  • must ensure that any of its members or representatives do not engage in any dishonesty in obtaining a benefit, or causing a loss, by deception or other means, including incidents of attempted, alleged, suspected, or detected fraud (“Fraudulent Activity”) and must not have any criminal record or criminal cases pending against them anywhere in the world; and
  • must not contain employees or immediate family members of employees of any of the Prize Organizers. Prize Organizers cannot have financial or other material interest in any Team.
  • each member must have attained the age of majority and should not be insolvent under the laws of the United States of America (USA), the Republic of India, and/or their country of origin and residence.

2. Official Language

The official language for the purpose of the Prize is English. All communications with the Organizers must be in English language only.

3. Participation Fee

No fees will be charged to participate in or apply to the Prize.

4. Prize award conditions

The Organizers reserve the right to increase or decrease the Prize award and/or offer additional awards at their sole and absolute discretion. Any Team receiving an award from the Prize shall be solely responsible for any and all taxes, including but not limited to federal, state, and/or local taxes, duties, surcharges and related reporting consequences, and for any other fees or costs associated with entering, participating, or winning the Prize. Any Team receiving an award from the Prize agrees that the Prize may use the Team members’ names, pictures, likenesses, and voices for Prize announcements without further compensation or notification to or permission from the Team.

5. Prize Timelines

The Team must view the dates mentioned on the Timelines and Milestone page of the Prize website as the deadline pertaining to all stages of the Prize. Only the information, documentation, or data submitted in any application on behalf of a Team to participate in the Prize (“Submissions”) received before the deadline will be considered. Once submitted, the Submissions will not be returned to the Team. However, the Organizers reserve the right to extend the deadline for any stage of the Prize. In case of any changes to the Prize timelines, all the Teams will be notified simultaneously via the primary email address with which they registered on the Prize application portal.

6. Amendment to Terms and Conditions

The Organizers have the right to supplement, amend, or otherwise modify these Terms and Conditions at any point of time without prior consent of the Team. If changes are made, all Teams will be notified simultaneously via the primary email address of the Team Leader and will be deemed to have accepted the modified Terms and Conditions of the Prize through their continued participation in the Prize.

7. Amendment to Prize Documents and Processes

The Organizers have the right to supplement, amend, or otherwise modify any Prize documents, evaluation protocols, processes, or timelines including but not limited to the Intent to Apply Form, the Detailed Technical Application, and the testing process, at any point of time without prior consent of the Team. If changes are made, all Teams will be notified simultaneously via the primary email address of the Team Leader.

8. Decisions of the Organizers are Final

By participating in the Prize, the Team and its Team Leader and each individual member jointly and severally, accept, agree, and warrant that they have full knowledge and understanding of these Terms and Conditions and through the Team’s participation in the prize, the Team, inclusive of all individual Team members, jointly and severally, waives any and all legal rights that they and each member may have under any and all jurisdictions to institute legal proceedings, question or challenge the Terms and Conditions of the Prize and the decisions of the Prize Organizers before any authority, governmental or otherwise.

Decisions regarding the selection of the finalists and the Prize winner as well as the distribution of Prize awards will be the responsibility of the Organizer’s Supervisory Board and the Technical Review Committee. The decisions made by the Supervisory Board and the Technical Review Committee will be final and by agreeing to these Terms and Conditions, the Team expressly waives any legal rights to any re-evaluation requests, legal appeals, arbitration, or other means of dispute.

9. Use of Global Cooling Prize resources

The Team can view, copy, print, display, transmit and distribute publications, documents, and all content found on the Prize website without alterations, including the data, information, and reports, for its personal, non-commercial use, but not for any other purpose. Please contact the Prize Organizers via info@globalcoolingprize.org for use of these resources for a commercial or other use.

10. Interaction with other Teams

On the Prize application portal, there are opportunities for interactive activities, which enable the Team and other participants to communicate with each other directly or to post information and other material that will be visible to other individuals or organizations outside of the Organizers. The Team and its Team Leader are solely liable and responsible for the information they share from their account on the Prize portal’s discussions forum. Teams are advised to exercise discretion while they post, publish, or communicate any data or information outside of the confidentiality provision of the formal application process that could be seen by other participants of the Prize. The Team should not submit any confidential or proprietary information through the Prize portal’s discussion forum. The Organizers have no control over and shall not be held liable, accountable, or responsible for what is being posted on the portal’s discussion forum, and all such liability is disclaimed to the fullest extent permitted by law.

11. Third party sites

On the Prize website, there may be hypertext links to other locations on the internet. This is done for information purposes only. The Organizers are not responsible for the content of any other third-party sites or other pages linked from or linking to the Prize website. The Organizers have not verified the content of any such sites. Following links to any other sites or pages shall be at the Team’s own risk and the Organizers shall not be responsible or liable for any damages or negative results in connection with third-party sites. The Organizers are not responsible for webcasting or any other form of transmission received from any linked site. No endorsement or approval of any third parties or their advice, opinions, information, product or services is expressed or implied by any information on the Prize site. The Team cannot set up a link from its organization or individual website to the Prize website without receiving prior consent in writing from a member of the Operating Council or Supervisory Board, which consent may be withheld in the Prize’s sole discretion.

12. International data transfer

The Prize website and the Prize application portal are operated in the United States. By using them, the Team provides its consent to have its personal information transferred, processed, and stored in the United States.

13. Personal Information

The Prize collects the Team’s personal information, including but not limited to the Team’s, the Team Leader’s, and any of its members’ names, addresses, telephone numbers, email addresses, etc.

The Team gives its express consent to the Organizers to collect and use its personal information for the purpose of administering the Prize, within and outside the Team’s country. The Organizers shall not disclose or convey the Team’s personal information to third parties, except to its entrusted agencies for purposes related to this Prize or for marketing of the Prize, without asking for prior consent.

The Team’s participation in the Prize constitutes valid consent for the foregoing purposes. The Team also provides consent to the transfer of its personal information to appropriate entrusted agencies in locations outside of the United States as may be necessary for purposes of administering the Prize.

14. Intellectual Property

The Team is solely responsible for both the protection of its Intellectual Property (IP) and ensuring that any documentation or information it submits to the Prize does not infringe any third party IP rights. The Team is further solely responsible for ensuring that its Submission and any of its documentation or information to the Prize does not leverage existing background IP that may have license requirements. Further if the Team or any of its members are part of an organization that through its contracts of employment has IP ownership provisions for the designs or products or technology developed by its employees, it is the sole responsibility of the Team and its members to ensure that their participation in the Prize does not infringe on the IP rights of their organization. The Team is strongly encouraged to seek independent legal advice on potential issues relating to its Submissions. The Team shall keep the Organizers indemnified fully at all times against any third party IP rights claims and actions pertaining to the Team’s participation in the Prize.

The Organizers strongly encourage the Team and each member of the Team to take any and all measures to protect and secure IP rights on their invention prior to submitting any documents pertaining to the proprietary design, technology, or process of their innovation as part of the Prize and prior to making Submission for the Prize. The Team understands and accepts that the Organizers will not be responsible for loss of any of the Team’s Intellectual Property rights resulting from their participation in the Prize.

The Organizers do not make any representation or warranty regarding the treatment or confidentiality of any information, documentation or data contained in Submissions received and disclaim all responsibility for the protection of the Team’s IP or the possible infringement of existing IP, or any consequence resulting from these Submissions.

However, the Organizers shall endeavor to ensure that the Team’s Submissions are handled appropriately during the review process so as to maintain confidentiality and restrict disclosure of the proposed cooling solutions to the extent possible. The Organizers will

  • execute confidentiality / non-disclosure agreements with all individuals handling any Submissions of the Team; and
  • employ reasonable measures to ensure that the Team’s Submissions are disclosed on a need-to-know basis and confidentiality is maintained during review and assessment by the Organizers.

15. Representation and Warranties

By providing information on the Prize Submissions, including the submission of prototypes for the Team’s technology for testing purposes (hereinafter collectively referred to as “Innovation”), the Team represents and warrants that it:

  • holds full legal right, including all IP rights in and to the Innovation, and is providing it gratuitously and without restriction to Prize Organizers for the purpose of competing in the Prize;
  • possesses all necessary permissions, licenses, or waivers from the owners of the Innovation to submit the Innovation for the purpose of the Prize; and
  • has the power to give, and gives its consent to the Organizers to use and evaluate the Innovation for purposes of the Prize.

16. Indemnification

By providing a Submission, the Team indemnifies, defends, and holds the Prize and its Organizers harmless from and against any and all third party claims, actions, damage, loss, liability, costs and expenses of any kind, including reasonable attorneys’ fees (collectively, “Loss”) incurred by, or claims made against the Prize or its Organizers as a result of a breach of any representations or warranties; or for violation of any third party’s IP rights; or if the design or content otherwise violates the law; or arising from, related to, or connected with any comments, designs, submission, use of the Prize website; or violation of any law, rights or privacy policies. Any expenses that are incurred by the Prize or its Organizers as a result of claims from third parties shall be fully recoverable from the Team and will result in the Team’s disqualification from the Prize.

17. Disqualification

At any time during the Prize, the Organizers, at their sole and absolute discretion, shall be entitled to disqualify a Team, upon service of a written notice to the Team if it:

  • breaches any Terms and Conditions;
  • engages in conduct that is determined by the Organizers (i) to reflect poorly on the Prize or its Organizers; (ii) to be unsportsmanlike conduct;
  • ceases to exist, or in case of individuals, becomes medically incapable or of unsound mind.

18. Cancellation of the Prize

The Organizers, at their sole and absolute discretion, may cancel the Prize at any time without cause. In such a case, there will be no liability whatsoever attached to the Prize or its Organizers.

19. Disputes and Mediation

Without prejudice to paragraphs 8 and 14 above, in the unlikely scenario of a dispute between the Organizers and the Team, prior to filing any litigation claim, both Parties agree to seek mediation with a third party not directly associated with the claim, to be selected by mutual agreement from the standing members of the Technical Review Committee of the Prize, in an effort to resolve any dispute. If either the Organizers or the Team resorts to legal action relating to the participation, the prevailing party will be entitled to an award of all its costs and reasonable attorneys’ fees.

20. Governing Law

These Participation Terms and Conditions and the Organizers’ relationship with the Team will be governed exclusively by laws in force in Colorado, USA, excluding its conflict of law rules. Any litigation arising out of or relating to the Global Cooling Prize must be filed and pursued exclusively in the Courts of Colorado, USA and the Team gives consent to the jurisdiction of and venue in such courts to the exclusion of all other courts and venues.
